3. Services and Client Responsibilities

Review and approve project milestones in a timely manner
Understand that timelines may depend on your responsiveness and technical conditions
We are not liable for delays caused by incomplete information, delayed approvals, or third-party system issues.
4. Intellectual Property Rights
All content on our website including text, branding, graphics, images, tools, and methodologies is owned by BSFlowInnolytics unless otherwise stated. Unauthorized use, reproduction, modification, or redistribution is prohibited.
Unless explicitly stated in a written agreement:
You retain ownership of your original data.
We retain ownership of our development methodologies, templates, source files, and proprietary frameworks.
Upon full payment, you receive a non-exclusive, non-transferable license to use the deliverables (dashboards, apps, automation workflows, websites, data analytics models, etc.) for internal business operations.
Custom intellectual property arrangements may be created through a separate written agreement.
5. Confidentiality
All data, documents, and communications you provide are considered strictly confidential. We will not disclose client information except:
With your explicit consent
When required to provide the service
When required by law or regulatory authority
A Confidentiality Agreement or Data Processing Agreement (DPA) can be provided upon request.
6. Data Handling & Retention
Unless otherwise agreed:
Client data is stored only as long as needed to deliver the project.
Backups of deliverables may be kept for internal reference and quality assurance.
We do not resell, reuse, or disclose client data for external purposes.
Data deletion requests can be made at any time, subject to legal and audit requirements.
7. Payment Terms
Unless stated otherwise in a proposal or contract:
Fees, timelines, and payment schedules will be provided in a written quote.
Invoices must be paid by the due date.
Late payments may delay project delivery and incur additional charges.
Deposits may be required before work begins.
All prices are in Canadian Dollars (CAD).
Failure to pay may result in suspension or termination of services.
8. Third-Party Platforms
Our services may involve third-party systems, including but not limited to:
Microsoft Power Platform (PowerApps, Power Automate, Power BI)
Google Sites, Google Cloud, and related tools
Website hosting platforms
Data connectors, analytics services, and automation tools
We are not responsible for:
Third-party outages, changes, or errors
Changes in pricing or policies of third-party providers
Data handled directly by third-party systems
You are responsible for reviewing applicable third-party terms and privacy policies.
9. Limitation of Liability
To the fullest extent permitted by Ontario and Canadian law, BSFlowInnolytics is not liable for:
Indirect, incidental, consequential, or special damages
Loss of revenue, profits, or data
Business interruptions
Errors due to third-party platforms or client-provided data
Delays caused by system limitations or external dependencies
Our total liability for any claim will not exceed the amount you paid for the specific service giving rise to the claim.
10. Warranties and Disclaimers
All services are provided “as-is” and without warranties, except those required by law.
We do not guarantee:
Uninterrupted or error-free performance
That analytics, dashboards, or optimization results will achieve specific business outcomes
Continuous availability of third-party systems or services
You assume all risk associated with the use of deliverables.
11. Indemnification
You agree to defend, indemnify, and hold harmless BSFlowInnolytics, its employees, owners, and contractors from any claims, liabilities, damages, or expenses arising from:
Your use or misuse of our deliverables
Data, content, or materials you provide
Your violation of these Terms or applicable laws
Issues caused by your systems, platforms, or users
12. Termination
We may suspend or terminate services if:
You violate these Terms
Payments are overdue
You misuse our systems or deliverables
You engage in unlawful or harmful conduct
You may terminate services according to the terms outlined in your project agreement. Upon termination, licenses to deliverables may also terminate unless otherwise agreed.
13. Independent Contractor Relationship
BSFlowInnolytics operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency relationship.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of Ontario and the applicable laws of Canada.
Before initiating legal proceedings, both parties agree to attempt good-faith negotiation to resolve any dispute.
Any legal actions shall be brought exclusively in courts located in Ontario, Canada
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force. The invalid provision will be interpreted to best reflect the original intent.
16. Changes to These Terms
We may update these Terms from time to time. When changes are made, the updated Terms will be posted here with a new “Last Updated” date. Your continued use of our website or services constitutes acceptance of the revised Terms.
